These Terms of Service ("Terms") are a legal agreement between you and FundOps, Inc. ("FundOps," "we," "us," or "our"). By creating an account, accessing fundopsai.com, or using any FundOps product or service (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy.

If you are agreeing to these Terms on behalf of an organization — such as a fund, accelerator, or family office — you represent that you have the authority to bind that organization. In that case, "you" refers to both you individually and the organization.

Acceptance of terms

You must be at least 18 years old and capable of entering into a binding legal agreement to use the Service. By accessing or using FundOps, you confirm that you meet these requirements and that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Service. Your continued use of the Service after any update to these Terms constitutes acceptance of the revised Terms.

Use of the service

FundOps grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your active subscription term, solely for your internal business purposes in managing investment pipelines, fund operations, and related activities.

You agree not to:

Sublicense, resell, distribute, or provide access to the Service to unauthorized third parties
Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying models of the Service
Use the Service for any unlawful purpose, including money laundering, securities fraud, or any violation of applicable financial regulations
Submit false, misleading, or fraudulent information through the platform
Upload or transmit malware, viruses, or any code designed to damage or interfere with the Service or its users
Attempt to access data, accounts, or systems belonging to other FundOps customers
Use automated tools, scripts, or bots to scrape, crawl, or extract data from the Service without our express written permission

Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including passwords and any API keys. You are responsible for all activity that occurs under your account, whether or not authorized by you.

You must notify us immediately at fundops@innovagentsai.com if you believe your account or credentials have been compromised.

You are responsible for ensuring that all team members and users who access the Service through your account comply with these Terms. You must keep your account information — including organization name, billing details, and contact email — accurate and up to date.

Subscriptions and payment

Access to the Service is provided on a subscription basis. Fees are as described on our pricing page at fundopsai.com/pricing or in a separately executed order form. All fees are in US dollars unless otherwise stated.

Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
We reserve the right to modify pricing with at least 30 days' written notice before your next renewal date.
All fees paid are non-refundable except as required by applicable law or expressly stated in your order.
Overdue balances may result in suspension of your account. We will provide reasonable notice before suspending access for non-payment.

Intellectual property

FundOps and its licensors retain all right, title, and interest in and to the Service — including all software, algorithms, interfaces, documentation, designs, trademarks, and proprietary content. Nothing in these Terms transfers any intellectual property rights to you.

You retain full ownership of all fund data, deal information, applications, documents, messages, and other content that you or your team submit to the Service ("Your Content"). You grant FundOps a limited, non-exclusive license to host, process, store, and display Your Content solely as necessary to provide and operate the Service for you.

FundOps will not use Your Content to train AI models, sell it to third parties, or use it for any purpose beyond operating the Service as described in our Privacy Policy.

Confidentiality

Each party may have access to the other's confidential information in connection with the Service. "Confidential Information" means any non-public information designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to: (a) use the other's Confidential Information solely to exercise rights and fulfill obligations under these Terms; and (b) protect Confidential Information with at least the same degree of care used to protect its own confidential information, but no less than reasonable care.

Warranties and disclaimers

FundOps represents that the Service will perform materially in accordance with our documentation under normal use. We do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." FUNDOPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FUNDOPS DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ANY INVESTMENT DECISION MADE USING THE PLATFORM WILL BE SUCCESSFUL.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUNDOPS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FUNDOPS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

IN NO EVENT WILL FUNDOPS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless FundOps, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) Your Content; or (c) your violation of any applicable law or the rights of any third party.

Termination

You may cancel your subscription and terminate your use of the Service at any time through your account settings or by contacting us.

FundOps may suspend or terminate your access to the Service with notice if you materially breach these Terms and fail to cure the breach within 10 days of receiving written notice. We may suspend access immediately and without notice if we reasonably believe your use of the Service poses a security risk, legal exposure, or harm to other users.

Upon termination: (a) your license to access the Service ends immediately; (b) you may request an export of Your Content within 30 days of termination, after which we may delete it in accordance with our Privacy Policy; and (c) all provisions of these Terms that by their nature should survive termination shall survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction in those courts.

Before filing any formal legal action, you agree to attempt to resolve disputes informally by contacting us at fundops@innovagentsai.com. We will attempt to resolve any dispute within 30 days of receiving your notice.

Changes to these terms

We may revise these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice within the Service at least 14 days before the revised Terms take effect. Non-material changes (such as clarifications or typographical corrections) may take effect immediately.

If you do not agree to the revised Terms, you must stop using the Service before the effective date of the changes. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

General

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and FundOps regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
